1. Who we are
AHGS Tech is a sole proprietorship providing software design and development services. These terms govern any engagement between AHGS Tech ("we", "us") and a client ("you") who instructs us to design, build or otherwise deliver software. By signing a scope document or paying an invoice, you accept these terms.
2. Engagements are scoped in writing
Every engagement is defined by a scope document agreed before work begins, stating what will be delivered, the milestones and dates, and the fixed price. We deliver against that document. Work outside it is treated as a new, separately quoted engagement and is not started without your written agreement.
3. Fees and payment
- Invoices are issued against milestones as set out in the scope document, not as a single upfront payment.
- Payment is due within 7 days of the invoice date.
- We are not registered under GST. No GST is charged on our invoices. Tax deducted at source (TDS), where applicable, may be deducted under Section 194J of the Income Tax Act.
- Payment may be made by bank transfer (NEFT/RTGS) or through our Razorpay payment link (card, UPI, netbanking).
- We may pause work on an engagement if an invoice is more than 14 days overdue, until it is settled.
4. Intellectual property
Ownership of the deliverables — code, designs and associated documentation created specifically for your engagement — transfers to you on full payment of the corresponding invoice. Until then, deliverables remain our property. We retain the right to reuse general-purpose tools, libraries and know-how developed during an engagement in other work.
5. Your responsibilities
Timely delivery depends on timely input from you — feedback on milestone demos, access to any systems we need, and content or credentials you agree to provide. Delays on your side may move agreed dates by the same amount of time.
6. Warranty and liability
We warrant that delivered work will materially match the agreed scope. For 30 days after handover, we will fix defects in delivered scope at no charge; this does not cover new features, changes of requirement, or issues arising from changes you or a third party make after handover.
To the extent permitted by law, our total liability arising from an engagement is limited to the total fees paid for that engagement. We are not liable for indirect or consequential loss.
7. Termination
Either party may end an engagement with 14 days' written notice. You pay for work completed and milestones delivered up to the termination date; see our Refund & Cancellation Policy for how this is calculated.
8. Governing law
These terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts where AHGS Tech is registered.
